Acceptance of Terms

By accessing or using Xorviex ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. Your continued use of the Service following any changes to these Terms constitutes acceptance of those changes.

Description of Service

Xorviex is a Self-Architecting AI Executive platform that allows users to define mission objectives and deploy autonomous AI agents to execute those objectives. The Service includes agent spawning, supervision, orchestration, analytics, and related tooling.

Xorviex reserves the right to modify, suspend, or discontinue any part of the Service at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

Accounts & Access

You must create an account to use most features of the Service. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

You must be at least 18 years old and capable of entering into a legally binding agreement to create an account. By creating an account, you represent and warrant that you meet these requirements.

You agree to provide accurate, current, and complete information during registration and to keep this information updated. We may suspend or terminate your account if any information you provide proves to be inaccurate, outdated, or incomplete.

You must notify us immediately at legal@xorviex.ai if you suspect any unauthorized access to or use of your account.

Workspaces & Operation Units

The Service is organized around Workspaces, which are isolated tenant environments. All data, agents, missions, and outputs are scoped to a Workspace. You are responsible for all activity within Workspaces you own or administer.

Operation Units ("OUs") are the billing unit for the Service. One OU represents one atomic task executed by an autonomous agent. OUs are consumed as agents execute tasks on your behalf. Unused OUs on paid plans roll over according to your plan terms.

We reserve the right to set and enforce usage limits on OUs and other resources at our discretion. We will provide reasonable notice before enforcing new limits on existing accounts.

Acceptable Use

You agree not to use the Service to:

• →Violate any applicable law, regulation, or third-party rights
• →Generate, distribute, or facilitate the creation of spam, misinformation, or harmful content
• →Attempt to gain unauthorized access to any system, network, or data
• →Conduct or facilitate denial-of-service attacks or other disruptive activities
• →Reverse engineer, decompile, or otherwise attempt to extract source code from the Service
• →Use automated means to scrape, index, or access the Service in ways not permitted by these Terms
• →Resell, sublicense, or commercially exploit the Service without our express written consent
• →Transmit viruses, malware, or any other harmful or destructive code
• →Use the Service to train competing AI models or build competing products
• →Impersonate any person or entity, or misrepresent your affiliation with any person or entity

We reserve the right to investigate suspected violations and, in our sole discretion, to suspend or terminate accounts, report activity to law enforcement, or take other appropriate action.

AI Agents & Autonomous Execution

The Service deploys autonomous AI agents that execute tasks on your behalf. You understand and agree that:

• →AI agents may make mistakes. All agent outputs should be reviewed before acting on them in high-stakes contexts.
• →You are solely responsible for the instructions ("missions") you provide to the Service and for any consequences of agent execution.
• →The Supervisor AI layer reduces but does not eliminate the risk of incorrect, harmful, or undesired agent outputs.
• →Connecting the Service to third-party APIs, services, or systems is done at your own risk. We are not responsible for actions taken by agents in connected systems.
• →You are responsible for ensuring agent-generated content complies with applicable laws and platform policies of any third-party services you connect.

Xorviex is not liable for any decisions made, actions taken, or outcomes resulting from autonomous agent execution, including but not limited to financial loss, data loss, service disruption, or reputational damage.

Data, Privacy & Security

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

You retain ownership of all data, content, and intellectual property you submit to the Service ("Your Content"). By submitting Your Content, you grant Xorviex a limited, non-exclusive, royalty-free license to process, store, and use Your Content solely to provide and improve the Service.

Your Content is never used to train AI models without your explicit, separate consent. All workspace data is isolated per tenant and is not accessible to other users.

You are responsible for the legality of Your Content and for obtaining all necessary rights and permissions before submitting it to the Service.

Third-Party Integrations

The Service may allow you to connect third-party platforms, APIs, and services ("Integrations"). Your use of Integrations is subject to the terms and policies of those third parties.

We are not responsible for the availability, accuracy, or performance of third-party Integrations. Connecting an Integration grants the Service permission to interact with that third-party service on your behalf, within the scope you authorize.

You are solely responsible for ensuring your use of Integrations complies with all applicable third-party terms of service.

Billing & Payment

Certain features of the Service require payment. By subscribing to a paid plan, you agree to pay the applicable fees as described on our Pricing page.

Subscription fees are charged in advance on a monthly or annual basis. Usage-based charges (Pay As You Go) are billed in arrears based on OUs consumed.

All fees are non-refundable unless otherwise required by applicable law or expressly stated in these Terms. We reserve the right to change pricing at any time with at least 30 days' notice to existing subscribers.

Failure to pay may result in suspension or termination of your account. You are responsible for all taxes applicable to your use of the Service.

Intellectual Property

The Service, including its design, software, algorithms, and documentation, is owned by Xorviex and protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service beyond the limited license to use it as described herein.

The Xorviex name, logo, and brand marks are trademarks of Xorviex. You may not use these marks without our prior written consent.

We welcome feedback and suggestions. Any feedback you provide may be used by us without obligation to you.

Termination

You may terminate your account at any time by contacting us or using account settings. Upon termination, your right to access the Service will cease immediately.

We may suspend or terminate your account at any time, with or without notice, if we believe you have violated these Terms, if required by law, or for any other reason at our discretion.

Upon termination, you may request an export of Your Content within 30 days. After that period, we may delete Your Content from our systems.

Sections of these Terms that by their nature should survive termination (including IP rights, disclaimers, limitations of liability, and dispute resolution) will remain in effect.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, XORVIEX DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY OR COMPLETENESS OF ANY CONTENT GENERATED BY AI AGENTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL XORVIEX OR ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

Indemnification

You agree to defend, indemnify, and hold harmless Xorviex and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including but not limited to Your Content, your Integrations, or your agents' actions.

Governing Law & Disputes

These Terms are governed by the laws of the jurisdiction in which Xorviex is incorporated, without regard to conflict of law principles.

Any dispute arising from or related to these Terms or the Service will first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes will be resolved through binding arbitration, except where prohibited by law.

You waive any right to participate in class-action lawsuits or class-wide arbitration.

Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date, or by email where required by law.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.
